1. Acceptance

By accessing or using Holdout at tryholdout.com ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. What Holdout provides

Holdout provides tools for marketing measurement including geo incrementality test design, post-test analysis, and incrementality reporting. Results are statistical estimates based on data you provide. They are for informational and decision-support purposes only.

3. Your data and content

You retain all rights to the data you upload. By uploading data, you grant us a limited licence to process it solely to provide the Service to you. We do not claim ownership of your data and do not use it for any purpose other than running the analysis you requested.

You are responsible for ensuring you have the right to upload any data you provide, including ensuring compliance with relevant privacy laws (e.g. GDPR) for any personal data within your files.

4. Acceptable use

You agree not to:

  • Upload data you do not have the right to process.
  • Attempt to reverse-engineer, circumvent, or abuse the Service.
  • Use the Service to process data of individuals without appropriate consent.
  • Resell or white-label the Service without our written consent.

5. Accuracy and limitations

Statistical outputs are estimates, not certainties. The quality of results depends on the quality and quantity of data you provide. We make no warranty that results are accurate, complete, or fit for any particular purpose. You should apply your own judgement and where appropriate consult a qualified statistician or analyst before making material business decisions.

6. Disclaimer of warranties

The Service is provided "as is" without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any errors will be corrected.

7. Limitation of liability

To the fullest extent permitted by law, Holdout shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profit, revenue, or data. Our total liability for any claim arising out of these Terms shall not exceed £100.

8. Intellectual property

All software, methodologies, designs, and content on the Service (excluding your uploaded data) are the intellectual property of Holdout. Nothing in these Terms grants you any licence to our intellectual property beyond what is needed to use the Service.

9. Third-party API integrations

The Service offers integrations with third-party platforms including Google Ads and Shopify, with additional integrations planned. Use of those integrations is also subject to the relevant third-party terms of service. We are not responsible for any changes to third-party APIs or their terms.

When you connect a Google Ads account, we request permission to read your campaign data and write negative location criteria to campaigns you select. We do not make any other changes to your Google Ads account. You can disconnect at any time from Settings, which removes our stored credentials immediately.

10. Changes to the Service and Terms

We reserve the right to modify or discontinue the Service at any time. We will update these Terms as the Service evolves. Continued use after changes constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
